K9HP Affiliate Program

This agreement describes the terms and conditions for participation in the K9HP Affiliate Program. The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to K9HP Affiliate Program.
We are independent parties and this agreement will not form any partnership.

PROGRAM ENROLLMENT

As an affiliate in the K9HP Affiliate Program, you will place links from your Web site to the K9HP Web site. By clicking on the JOIN NOW link you are stating that you have read and understood the terms of the Affiliate Program herein, and agree to be legally bound by the terms.

To begin the enrollment process, you will submit a completed Affiliate Program application through mTracker.  We will evaluate your application in good faith and will notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your site is unsuitable for our Affiliate Program for any reason stated in the Website Restriction section of this agreement.

If we reject your application, you may reapply to our Affiliate Program at any time.  Also note that if we accept your application and your site is thereafter is determined (at our sole discretion) to be unsuitable for our Affiliate Program, we may terminate this Agreement.

Once you have been notified that your site has been accepted into our Affiliate Program, login to your affiliate administration area at mTracker and select the banner link code to be placed anywhere on your site with your unique Affiliate Program identification number. The ID Number allows use to track visitors from your site to K9HP.com.

AGREEMENT DURATION

This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination.

MODIFICATION

By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change.

LIMITED LICENSE

We grant you a non-exclusive, revocable right to use the graphic image and text and such other images for which we grant express permission, solely for the purpose of identifying your site as an Affiliate Program participant and to assist in generating product sales. You may not modify the graphic image or text, or any other of our images, in any way. We reserve all of our rights in the graphic image and text, any other images, our trade names and trademarks, and all other intellectual property rights.  We may revoke your license at any time by giving you a written notice.

COMMISSION FEES

You will receive 5% of the revenue per sale as a commission from orders placed through your Affiliate Site (less any credit card processing fees, shipping or handling charges and sales taxes paid).
For a sale to generate a commission to an Affiliate, the customer must complete the order form, remit full payment for the products ordered and have their order shipped to their desired destination. You will receive 5% for orders placed through the Affiliate Sites which you have sponsored into the K9HP Affiliate Program.  Affiliate commissions will only be paid on sales which are made through qualified Affiliates.

Referral fees can only be earned between the acceptance of the K9HP Affiliate application and notice of termination. Commissions will be paid on a quarterly basis, approximately 20 days following the end of each calendar quarter.  A check will be sent for the commissions earned on K9HP product sales that were shipped during that quarter.  If the commissions total less then $50 for that quarter we will hold those commissions to be paid the following quarter, if those commission reach a total of $50.  If a product that generated a commission is returned by the customer, we will deduct the commission paid from your next quarterly payment.  Net Sales will also be reduced for amounts due to credit card fraud, bad debts, cancellations and credits for returned goods. A commission will only be paid if the visitor to our site is tracked by the system from the time of the link to the time of the sale. No commission will be paid if the visitor to our site cannot be tracked by our system. Affiliates must have an active link on their website to our site.

ORDER PROCESSING

K9HP will be solely responsible for processing every order placed by a customer on the Affiliate site. Customers who purchase products through the K9HP Affiliate Program will be deemed to be customers of K9HP Inc. Prices and availability of our products and services may vary from time to time. K9HP policies will always determine the price paid by the customer. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies. Sales initiated by customers tracked from your site to our site will be recorded in a sales report available to you online in your mTracker administration area. Please note that NO COMMISSION is paid on your original purchase of K9HP. In other words you cannot buy from yourself or be your first purchase for the sole purpose of discounting your own product purchase.

WEBSITE RESTRICTIONS

K9HP reserves the right not to accept any site into the K9HP Affiliate Program based on site content. Sites that Do Not Qualify for the K9HP Affiliate Program include sites such as sites that are:

• X- rated and promote sexually explicit materials
• Promoting violence and discord.
• Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Promoting illegal or questionable activities
• Violating intellectual property rights

You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. We shall have no responsibility for the development, operation and maintenance of your site and for all materials that appear on your site.  

SPAM (UCE)

Unsolicited Commercial E-mail - K9HP in no way participates in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the K9HP Affiliate Program, with no refund.

DISCLAIMER

We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the K9HP Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time.

This Agreement will be governed by the laws of the United States and the District of Columbia, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in the state of New Jersey, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
